By accessing or using the Icebreaker mobile application and related services (collectively, the "Service"), operated by BoxHive Digital Solutions Co. ("we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service.

Icebreaker is a networking platform that enables event attendees to connect with each other through QR code badge scanning and digital profiles. The Service provides features including but not limited to:

• Event registration and check-in
• Attendee networking via QR code scanning
• Digital profiles and contact sharing
• Event agenda and session management
• Gamification features (challenges, badges, leaderboards, and achievements)
• Attendee matching and networking suggestions
• Exhibitor and sponsor discovery
• Push notifications and event announcements

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials, including any PIN assigned for badge-based authentication
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Not create multiple accounts for a single individual or share your account with others

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being misused.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Harass, abuse, threaten, or intimidate other users
• Impersonate any person or entity, or misrepresent your affiliation
• Upload malicious code, viruses, or interfere with the operation of the Service
• Collect other users' information without their consent
• Use automated systems, bots, or scrapers to access the Service
• Attempt to gain unauthorized access to any part of the Service
• Manipulate gamification features, leaderboards, or challenge completion through fraudulent means

Ownership: You retain ownership of content you submit through the Service, including profile information, feedback, and connection notes.

License: By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and providing the Service.

Prohibited Content: You may not submit content that is illegal, harmful, threatening, abusive, defamatory, obscene, discriminatory, or otherwise objectionable. We reserve the right to remove any content that violates these Terms.

The Service and its original content, features, functionality, design, and branding — including badges, challenge designs, and achievement graphics — are owned by BoxHive Digital Solutions Co. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

If you use the Service as an event organizer through our dashboard, you additionally agree to:

• Ensure you have a lawful basis for collecting and processing attendee data
• Comply with all applicable privacy and data protection laws
• Not sell, misuse, or improperly share attendee information obtained through the Service
• Maintain appropriate security measures to protect attendee data
• Respond promptly to data subject requests from your attendees
• Use the analytics and attendee data solely for event management and improvement purposes

Certain features of the Service may require payment. All fees are as described at the time of purchase and are non-refundable except as required by law. We reserve the right to change our pricing at any time with reasonable notice.

The Service may integrate with or contain links to third-party services, including event organizer websites, sponsor pages, and promotional offers. We are not responsible for the content, privacy practices, or terms of any third-party services. Your interactions with third-party services are governed by their respective terms and policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, ACTIONS, OR REPRESENTATIONS OF OTHER USERS, EVENT ORGANIZERS, OR EXHIBITORS. ATTENDEE MATCHING SUGGESTIONS AND ICEBREAKER PROMPTS ARE PROVIDED FOR CONVENIENCE AND DO NOT CONSTITUTE ENDORSEMENT OF ANY USER.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOXHIVE DIGITAL SOLUTIONS CO. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

You agree to indemnify, defend, and hold harmless BoxHive Digital Solutions Co. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

We may terminate or suspend your account and access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease. You may also delete your account at any time through the app settings, subject to a 14-day grace period.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting a notice within the Service and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco, California.
